Private/White Label Terms + Conditions
These Terms + Conditions apply to White Label, Private Label, Contract Manufacturing, Custom Formulation, and Semi-Custom Formulation projects completed by MamaSuds LLC and/or its manufacturing subsidiary, Bluemark Products LLC.
By approving a quote, submitting payment, or authorizing work to begin, the customer agrees to these Terms + Conditions.
Project Approval + Quotes
Every manufacturing project is different.
Before production begins, MamaSuds will provide the customer with the applicable project details, which may include:

Any additional project-specific requirements
Quotes are based on the information available at the time they are prepared.
Changes requested after a quote has been approved may affect pricing, production time, packaging requirements, or other project details.
Minimum order requirements vary by product and project and will be communicated before production begins.
White Label Projects
White Label projects use an existing MamaSuds formula and MamaSuds' standard packaging, with the finished product carrying the customer's approved branding and label.
Customers are responsible for providing finished labels that have been reviewed and approved by MamaSuds.
A 60% deposit of the total project cost is required before manufacturing will begin.
Any remaining balance must be paid according to the terms provided on the customer's invoice and before finished goods are released or shipped.
Private Label Projects
Private Label projects use an existing MamaSuds formula with packaging selected for the customer's brand.
Customers may provide their own approved packaging or ask MamaSuds to source packaging on their behalf.
Private Label filling projects must be paid in full before manufacturing begins.
If the customer provides finished labels that have been reviewed and approved by MamaSuds, there is no additional label application fee added to the customer's cost of goods unless otherwise stated in the project quote.
Labels + Artwork Approval
All labels and finished artwork must be submitted to MamaSuds for approval before labels are printed.
MamaSuds will provide the customer with the manufacturing and product information required for the project, including approved ingredient information when applicable.
Customers may not alter ingredient declarations, manufacturing information, required warnings, or other information supplied by MamaSuds without written approval.
MamaSuds' review of a label does not transfer responsibility for the customer's branding, trademarks, marketing claims, advertising claims, or other customer-created content.
Customers are responsible for ensuring that the claims they make about their products comply with the laws and regulations applicable to the markets in which the products will be sold.
Manufacturer Identification + Product Liability Insurance
Bluemark Products LLC is a subsidiary of MamaSuds LLC and is the entity we use for Private and White Label manufacturing. Bluemark is covered under our product liability insurance.
Unless another arrangement has been approved, products manufactured by Bluemark will identify Bluemark Products LLC as the manufacturer using the manufacturing information provided by MamaSuds.
If a customer does not want Bluemark Products LLC identified as the manufacturer on the finished product, the customer must carry its own product liability insurance.
A current certificate or other acceptable proof of product liability coverage must be provided to MamaSuds and kept on file before the customer's label will be approved for production.
When the customer's company is identified on the label instead of Bluemark, the wording must accurately describe the customer's relationship to the product, such as "Manufactured for" or "Distributed by," as applicable.
Packaging
For Private Label and applicable Contract Manufacturing projects, customers have two packaging options.
Customer-Supplied Packaging
Customers may purchase and ship approved packaging directly to MamaSuds at no additional packaging sourcing fee.
Before ordering production quantities, packaging must be discussed with MamaSuds and a sample must be provided and approved.
Approval of a packaging sample does not guarantee that every unit supplied by a third-party packaging manufacturer will be free from defects or variation.
MamaSuds-Sourced Packaging
MamaSuds can source approved packaging on the customer's behalf for an additional 12% sourcing fee.
Packaging costs, freight, minimum purchase quantities, and other supplier charges will be included in the customer's project costs.
Packaging Must Arrive Before Production
All required packaging, labels, boxes, closures, pumps, sprayers, or other customer components must be physically received at our facility before manufacturing can begin.
Production lead times begin after all required components have been received and approved.
Certain packaging materials or designs may require additional labor, handling, shipping, or production charges.
Customer-Supplied Components
Customers may supply approved packaging, labels, specialty ingredients, or other components required for their project.
All customer-supplied ingredients must include appropriate documentation and must be approved by MamaSuds before use.
MamaSuds reserves the right to reject any ingredient, packaging, label, or other component that is incompatible with our manufacturing process, equipment, quality standards, or ingredient standards.
MamaSuds will not manufacture with ingredients that do not meet our ingredient standards, including synthetic fragrance.
Delays caused by missing, damaged, incorrect, incompatible, or late-arriving customer-supplied components may extend the production timeline.
Custom + Semi-Custom Formulation
Formulation services are billed at $150 per hour plus the cost of supplies.
Total formulation costs vary based on the complexity of the project, number of formulations or revisions required, ingredients and supplies, testing, and total development time.
Custom and Semi-Custom Formulation work is billed weekly and must be paid in full.
Custom Formulation
Custom Formulation means MamaSuds works with the customer to develop a new formula based on the customer's product goals and requirements.
Semi-Custom Formulation
Semi-Custom Formulation involves making approved changes to an existing formula supplied by the customer, including changes such as reformulation of an emulsifying system or preservative system.
If the customer has an existing product that represents the desired finished product, MamaSuds may request a physical sample for reference.
Formula Ownership + Confidentiality
Unless otherwise agreed to in writing, Custom and Semi-Custom formulations developed by MamaSuds, along with the associated manufacturing methods and methodology, remain the property of MamaSuds.
The finished formula is licensed to the customer for use as agreed between the parties.
An appropriate Non-Disclosure Agreement may be executed to protect confidential information shared during the development and manufacturing process.
Once a formula has been finalized, MamaSuds will provide the customer with a quote for production.
The customer may also be given the option to purchase the formula and its related methodology under separate written terms.
Customer-owned formulas provided to MamaSuds for Contract Manufacturing will be treated as confidential according to the applicable agreement or NDA.
Production Lead Times
Estimated production lead times begin only after the project is production-ready and all required components, approvals, and payments have been received.
Typical estimated lead times are:
White Label: 2–6 weeks
Private Label: 4–6 weeks
Contract Manufacturing: Varies by project
Lead times are estimates and may vary based on order volume, product complexity, packaging, component availability, supplier delays, holidays, equipment issues, severe weather, natural disasters, or circumstances outside our reasonable control.
Changes requested by the customer after production preparation has begun may also extend the estimated completion date.
Changes After Approval
Once a formula, label, packaging selection, quantity, or other project specification has been approved, changes requested by the customer may result in:

Additional formulation or labor charges

New packaging or component costs
-
Reprinting of labels
-
Disposal or replacement of unusable materials

Changes to the production schedule

A revised quote
MamaSuds will communicate any known additional costs before proceeding with requested changes whenever reasonably possible.
Cancellations
Once payment has been processed, customer-requested cancellations may be subject to a 3% cancellation fee to cover non-refundable payment processing expenses.
Additional amounts may be non-refundable if MamaSuds has already purchased ingredients, packaging, labels, supplies, or other project-specific materials, or if formulation, production, or other work has already been completed.
Any refund due will be calculated after non-refundable expenses and work already performed have been deducted.
Finished Product + Quality Concerns
MamaSuds stands behind the quality of the products we manufacture.
Any suspected manufacturing defect or order discrepancy must be reported to MamaSuds promptly after delivery.
Customers should retain the affected product, packaging, lot information, photographs, and any other information reasonably requested so the issue can be evaluated.
Products should not be discarded before MamaSuds has had an opportunity to review the concern unless doing so is necessary for safety.
Normal variations that occur with products made from natural ingredients, including minor differences in color, aroma, texture, or appearance, are not necessarily considered manufacturing defects.
Shipping + Freight
Shipping and freight costs are the customer's responsibility unless otherwise stated in writing.
Shipping may be invoiced separately once the finished order has been packaged and accurate shipment dimensions and weights are available.
If estimated shipping paid in advance is less than the actual shipping cost, the customer may be invoiced for the difference.
MamaSuds will package finished goods using reasonable care for shipment.
Any shipping damage or loss should be reported promptly so that applicable carrier claims can be addressed.
Storage of Customer Materials
Customers are responsible for arranging timely use, pickup, shipment, or other disposition of customer-owned packaging, labels, ingredients, or other components held at our facility.
MamaSuds is not intended to serve as long-term storage for unused customer inventory.
If substantial customer-owned materials remain after a project is complete, MamaSuds may contact the customer to arrange shipment, pickup, continued use, or other disposition of those materials.
Any applicable shipping or handling costs are the customer's responsibility.
Compliance + Customer Responsibilities
MamaSuds will manufacture products according to the approved project specifications and applicable manufacturing requirements.
The customer is responsible for the operation of its own business and for the way the finished product is marketed, advertised, represented, distributed, and sold after it leaves our facility.
This includes responsibility for:

Customer-created product claims

Websites and online listings
-
Advertising
-
Social media content
-
Retailer representations
-
International labeling and sales requirements
-
Compliance requirements that arise from where or how the customer chooses to sell the finished product
Products intended for sale outside the United States may be subject to different labeling, registration, ingredient, language, documentation, or other regulatory requirements.
The customer is responsible for identifying and complying with the laws of every country or jurisdiction in which its finished products will be sold.
Ingredient + Manufacturing Standards
MamaSuds reserves the right to decline any project, formula, ingredient, claim, packaging configuration, or manufacturing request that does not meet our safety, quality, ingredient, manufacturing, or business standards.
Approval of one project does not obligate MamaSuds to accept future projects or future versions of the same product.
Agreement to These Terms
By approving a project quote, paying an invoice or deposit, supplying materials for production, or authorizing MamaSuds or Bluemark Products LLC to begin work, the customer acknowledges and agrees to these Private + White Label Manufacturing Terms + Conditions.
Project-specific written agreements, approved quotes, NDAs, formula agreements, or other signed documents may contain additional terms.
If a project-specific written agreement conflicts with these general Terms + Conditions, the project-specific written agreement will control for that project.
